These terms apply to your use of the Circle merchant app on Solana Mobile Seeker and any other Android device.
About Circle
Circle is a merchant point-of-sale and bookkeeping application for the Solana blockchain. It helps you accept SOL and USDC payments, record transactions, and generate reports. By using the app you agree to these terms.
Accounts and wallet access
You sign in by cryptographically signing a challenge with a Solana wallet on your device (Sign-In with Solana). You are responsible for keeping your wallet, seed phrase, and signing device secure. Circle never stores, transmits, or has access to your private keys or seed phrase at any point.
Payments are peer-to-peer
Circle facilitates payment by generating Solana Pay requests. All value transfers happen directly between the customer wallet and your merchant wallet on the Solana blockchain. Circle is not a custodian, broker, exchange, or money services business and does not take possession, control, or custody of funds at any point.
Your responsibilities
You are solely responsible for: accurate business information, your own tax obligations and filings, compliance with your local laws and regulations (including sales tax collection and remittance where applicable), verifying each payment with the customer before completing a sale, and the content of any exports you generate or share.
Not tax or legal advice
Circle provides tools to help you keep records. We are not accountants, tax advisors, or attorneys. Reports, tax statements, and exports are informational only. Always consult a qualified professional before filing taxes or making financial decisions based on data from the app.
Third-party services
Circle relies on third-party services including the Solana blockchain, RPC providers, wallet applications (Phantom, Solflare, Backpack, etc.), price oracles (Pyth, Coingecko), and cloud infrastructure. We are not liable for downtime, errors, or loss caused by those services.
No warranty
Circle is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Blockchain transactions are irreversible; we cannot reverse a payment, recover funds sent to the wrong address, or alter an on-chain record.
Limitation of liability
To the maximum extent permitted by law, Circle and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the app.
Changes to these terms
We may update these terms from time to time. When we do, we will update the effective date above. Continued use of Circle after changes take effect constitutes acceptance of the updated terms.
Termination
You may stop using Circle at any time by uninstalling the app and, if desired, requesting deletion of your account data as described in the Privacy Policy. We may suspend or terminate access for violations of these terms or for activity that harms other users or the service.
Governing law and disputes
These terms are governed by the laws applicable to the jurisdiction in which Circle operates. Where enforceable, you agree that any dispute arising from your use of the app will be resolved through binding individual arbitration, and not as part of a class, representative, or consolidated proceeding.
